Notice regarding stock transfer of a consolidated subsidiary

Toyobo Co., Ltd. has decided to transfer its entire shareholding in Toyobo Automotive Textiles (Changshu) Co., Ltd., its wholly owned subsidiary, to the Osaka-based Teijin Frontier Co., Ltd. (hereinafter, the "Stock Transfer") during a board of directors meeting held on November 25, 2025. The contract for the Stock Transfer was signed the following day, on November 26. The outline of the Stock Transfer is as follows.

  1. Reasons for the Stock Transfer

    Toyobo Automotive Textiles (Changshu) Co., Ltd. was established in Changshu, Jiangsu Province, China, in April 2011 with the aim of expanding its airbag fabric business within the Chinese market. Currently, Toyobo is reorganizing its operations by integrating its airbag business into Thailand to strengthen its market presence. Given these circumstances, Teijin Frontier, which plans to expand its business operations in China, was deemed the most suitable target for the Stock Transfer. Consequently, Toyobo has decided to transfer its entire shareholding in Toyobo Automotive Textiles (Changshu) Co., Ltd. to Teijin Frontier.

    At present, Toyobo has established an integrated production system for airbag yarn and fabrics in Thailand through Toyobo Indorama Advanced Fibers Co., Ltd. (TIAF)* and Toyobo Saha Safety Weave Co., Ltd. (TSSW). Toyobo will continue to supply airbag-related products from its production base in Thailand to markets across Asia and beyond, aiming to meet the diverse needs of its clients globally.
