"TEIXEIRA DUARTE, S.A." hereby informs that on June 6th, 2025, it received from MIDINVEST, Gestão e Investimentos, Sociedade Unipessoal Lda., a statement regarding the abovementioned issue, which pursuant to Article 17 of the Securities Code is now disclosed to the market, specifically a statement with the following content:
"Under the terms and for the purposes of the provisions of the Regulations of CMVM, in particular Article 16 of the Portuguese Securities Code, we hereby inform you that MIDINVEST, Gestão e Investimentos, Sociedade Unipessoal Lda., has, on 5 June 2025, disposed of 1,187,373 shares representing the share capital of Teixeira Duarte, S.A., through a transaction carried out on a regulated market (Euronext Lisbon).
Following this transaction, the shareholding decreased from 43,186,373 shares, corresponding to 10.2825% of the voting rights, to 41,999,000 shares, corresponding to 9.9998% of the voting rights in Teixeira Duarte, S.A., thereby crossing below the legally significant threshold of 10%.
The shares are held directly by Midinvest but are attributable to Mr. Miguel Calainho de Azevedo Teixeira Duarte, pursuant to Article 20(1)(b) of the Portuguese Securities Code, as he is the sole shareholder of the declaring entity.
Mr. Miguel Calainho de Azevedo Teixeira Duarte does not hold any direct participation in Teixeira Duarte, S.A..
We further inform that the required notification has already been submitted to the CMVM."
