EXERCISE OF SOSTRAVEL WARRANTS

Rome, December 4, 2024 --Sostravel.com S.p.A. (Euronext Growth Milan, ticker: SOS and OTCQB New York, ticker SOSAF), the Italian digital travel platform offering bookings, itineraries, flight and airport information, car rentals, experiences, and travel tech services such as Lost Luggage Concierge and Dr. Travel through the Sostravel and Flio apps as well as the platforms www.sostravel.comand www.amare.travel("SosTravel" or the "Company"), announces that during November 2024, a total of 138 SosTravel.com 2021-2024Warrants were exercised, following the recent shareholders' resolution on November 25, 2024, which extended the final exercise date for the warrants from December 16, 2024, to December 16, 2026 (ISIN IT0005446718) (the "SosTravel Warrants").

As a result, 138 new ordinary SosTravel.com shares (the "Compendium Shares") with ISIN IT0005338675 were subscribed at a ratio of 1 new share per warrant exercised, at a price of €1.20 per Compendium Share, for a total value of €165.6.

The Compendium Shares, admitted to trading on the Euronext Growth Milan market, have no nominal value, carry full dividend rights, and share the same characteristics as the existing SosTravel.com ordinary shares at the issuance date.

Following this operation, 21,718,270 SosTravel Warrants remain outstanding and can be exercised continuously until December 16, 2026, in accordance with the SosTravel.com 2021-2026 Warrant Regulations (the "Warrant Regulations").

As a result, the new share capital of Sostravel.com S.p.A. amounts to €1,317,714.80, comprising 13,177,148 ordinary shares with no nominal value.
