Shares Repurchase Programme and Change of Broker
Ninety One plc has announced an increase in its share repurchase programme from £30 million to £55 million, with repurchases to be completed by 21 July 2026, subject to regulatory approval. The company has engaged J.P. Morgan Securities plc to execute the programme on its behalf, purchasing ordinary shares on the London Stock Exchange as riskless principal. Today, the Company announces its intention to increase the Programme from £30 million to £55 million and to extend the date for repurchases to be completed no later than 21 July 2026 (subject to regulatory approval remaining in place). The Company further announces that it has entered into an agreement (the " Agreement ") with J.P. Morgan Securities plc (" JPMS ") to undertake the Programme on its behalf and to make trading decisions under the Programme independently of the Company. JPMS will purchase the Company's ordinary shares on the London Stock Exchange, as riskless principal, subject to certain parameters agreed between the Company and JPMS, and the Company's right to terminate the Agreement in certain circumstances. The repurchase of ordinary shares under the Programme will be effected within the scope of any authority to repurchase ordinary shares conferred on the Company in its general meeting, the UK Market Abuse Regulation, the Companies Act 2006 and the Financial Conduct Authority's UK Listing Rules.
