· Issued by Bluebird Mining Ventures Ltd. via RNS

Summary by 6ix AI

The board of Bluebird Mining Ventures Ltd, a gold streaming, mining and treasury company, has approved a programme to buy back up to 350,000,000 of its ordinary shares on the stock market, for up to £300,000 in total, to be held in treasury (kept by the company rather than cancelled). The programme has not yet started.

Key details

  • The 350,000,000 share limit is approximately 10.9% of the company's current issued share capital. The programme will run for six months from its start unless completed, suspended or terminated earlier.
  • The company says bought-back shares will be used to meet obligations from existing warrants or options, or other share allocations, to employees or board and management members of the company or its group. If not used this way, it may consider cancelling them.
  • The maximum price per share will be the higher of the last independent trade and the highest current independent purchase bid.
  • Separately, after cancelling 19,500,000 warrants (rights to buy shares) in an announcement dated October 8, 2026, the company cancelled a further 12,500,000 warrants exercisable at 0.23 pence per ordinary share, leaving 95,755,435 such warrants outstanding.
  • The company's Investor Day webinar is scheduled for October 22, 2026 at 4pm.

What’s still pending

  • The company is still engaging brokers to run the programme; the broker and the start date will be announced once the broker appointment is finalised.
  • The £300,000 and 350,000,000 share limits are maximums, not a commitment to buy any particular number of shares or spend the full amount.
  • The remaining 0.23 pence warrants are still under review, including some whose validity, enforceability or continued existence is being examined, and talks on cancelling others are ongoing.

Bluebird Mining Ventures Ltd

("BMV" or the "Company")

Share Buyback Programme

Bluebird Mining Ventures Ltd (LSE: BMV) ("Bluebird", "BMV" or the "Company") announces that its Board has approved the commencement of an on-market share buyback programme (the "Programme") under which the Company intends to acquire ordinary shares of no par value in the Company ("Ordinary Shares") to be held in treasury.

Background and Purpose

As previously announced, in January 2026 the Company established a share trust arrangement which included a pool of 350,000,000 Ordinary Shares (the "Contractor Pool") held on trust for the purpose of satisfying amounts due to contractors and other service providers through shares rather than cash.

The Company subsequently announced that the Contractor Pool had been fully allocated.

The Company continues to have existing and prospective obligations under remuneration, service and other arrangements which are payable, or may be satisfied, in Ordinary Shares.

The Board has therefore determined that the Company should establish a pool of treasury shares through purchases of existing Ordinary Shares in the market. Shares acquired under the Programme will be used to meet obligations arising from existing warrants or options, or other allocations of shares, to employees or to members of the administrative, management or supervisory bodies of the Company or another member of the Company’s Group and failing that the Company will cancel them to reduce the capital of the Company.

Programme Parameters

The Programme will operate within the following parameters:

  • maximum aggregate consideration of £300,000;
  • maximum purchases of 350,000,000 Ordinary Shares, representing approximately 10.9% of the Company's current issued share capital; and
  • a duration of six months from commencement, unless completed, suspended or terminated earlier.

The £300,000 maximum aggregate consideration and 350,000,000 Ordinary Share limit are maximum parameters and do not constitute a commitment by the Company to purchase any particular number of Ordinary Shares or deploy the full amount available under the Programme.

All Ordinary Shares acquired under the Programme will initially be held in treasury and not cancelled.  If the Company does not use them to satisfy the exercise of warrants or options or other allocations of shares, to employees or to members of the administrative, management or supervisory bodies of the Company or another member of the Company’s Group then the Company may consider cancelling shares held in treasury.

The Programme has been authorised by the Board pursuant to the Company's memorandum and articles of association and applicable BVI law.

Any purchases of Ordinary Shares pursuant to the Programme will be effected within the above-mentioned pre-set parameters, including the maximum price payable for an Ordinary Share being an amount equal to the higher of the last independent trade and highest current independent purchase bid.  These arrangements are in accordance with provisions of Article 5(1) of Regulation (EU) No. 596/2014 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) (as amended) ("UK MAR") and the Commission Delegated Regulation (EU) 2016/1052 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018) (as amended) (the "UK RTS") dealing with buyback programmes. The Company will make further announcements regarding purchases under the Programme as required by applicable law and regulation, including UK MAR and the FCA’s UK Listing Rules and Disclosure Guidance and Transparency Rules.

The Company is in the process of engaging brokers to conduct the Programme on its behalf within certain pre-set parameters and in accordance with the applicable regulatory requirements. Further details, including details of the broker and commencement date of the Programme, will be announced once the broker appointment has been finalised.

The Programme differs from the Company's previous Contractor Pool arrangements, under which Ordinary Shares were held by a trustee. Shares purchased under the Programme will instead be acquired by the Company and held as treasury shares.

Further Warrant Cancellations

In an announcement dated 8 October 2026, the Company announced the cancellation of 19,500,000 warrants and its intention to continue the process of resolving the remaining historic warrants.

The Company is now able to announce the cancellation of a further 12,500,000 warrants exercisable at 0.23 pence per share Ordinary Share.  Following these cancellations, 95,755,435 warrants exercisable at 0.23 pence per Ordinary Share remain outstanding.

The remaining 0.23 pence warrants remain subject to review by the Company, including certain warrants where the Company is reviewing their validity, enforceability and/or continued existence, together with other warrants in respect of which discussions regarding cancellation remain ongoing.

The Company intends to continue the process of resolving the remaining historic warrants and will provide further updates as appropriate.
