São Carlos Empreendimentos e Participações S.A. ("São Carlos") (B3: SCAR3) hereby announces, in compliance with Article 157, paragraph 4, of Law 6,404/76 and CVM Rule 358/02, as amended, that on this date the Company executed a Private Irrevocable Instrument to Sell Quotas to divest the subsidiary SC São Paulo CE Aço Empreendimentos e Participações Ltda. ("SPE"), in the amount of R$296,000,000.00 (two hundred ninety-six million reais), including the SPE's financing outstanding balance.
The SPE is the sole owner of the Centro Empresarial do Aço Building, a property with 2 towers of class A offices, located at Avenida do Café, 277, Jabaquara neighborhood, São Paulo - SP.
The effectiveness of the transaction is subject to usual conditions in transactions of this nature and the approval of the antitrust authorities.
