Acquisition of Maruei Sangyo Co., Ltd.

Sankyu Inc. (Head Office: Tokyo, Japan; President (Representative Director): Kimihiro Nakamura; hereinafter the "Company") will acquire all outstanding shares of Maruei Sangyo Co., Ltd. (Head Office: Kitakyushu City, Fukuoka Prefecture; President & CEO: Manabu Yoshimi; hereinafter "Maruei Sangyo") as of March 31, 2026, thereby making it a wholly owned subsidiary.

Established in 1958, Maruei Sangyo operates from its base in Kitakyushu, conducting business across a wide spectrum of fields, including corrosion prevention and painting, resin lining, waterproofing, civil engineering, demolition, renovation of water supply and drainage systems, and FRP-related operations. Leveraging extensive construction capabilities and technical expertise cultivated over many years, the Maruei Sangyo has built a diverse client base spanning the industrial facilities, social infrastructure, and architecture sectors.

Led by our guiding principle of "valuing people," the Company conducts business both domestically and internationally by leveraging the technologies, skills, and expertise cultivated over time. However, we also face challenges such as a shortage of on-site managers, supervisors, and skilled workers. Going forward, we aim to foster a sense of unity with Maruei Sangyo and integrate the construction capabilities, technical expertise, customer bases, and human resources held by both companies. In doing so, we intend to further strengthen our competitiveness while striving to expand service domains and create new business opportunities.

In particular, the fields in which Maruei Sangyo possesses core strengths-namely corrosion prevention, painting, resin lining, civil engineering and building renovation, and FRP-related applications-

demonstrate a high degree of synergy with the Sankyu Group's plant maintenance operations and infrastructure business. Accordingly, we view these areas as constituting a vital foundation for future business growth. By efficiently leveraging the resources of both companies, we will further enhance the value provided to our customers, while simultaneously driving business portfolio expansion and the realization of sustainable growth.

We believe that business and capital alliances with partners-including subcontractors-will become increasingly vital as we adapt to changes in our customers' operating environments. Guided by Medium-Term Management Plan 2026, we will strengthen collaboration with partners, aiming through cooperation and co-creation to complement and expand our capabilities, thereby enhancing our overall competitiveness.
