MATERIAL FACT

CHANGE IN THE COMPANY'S CHIEF OPERATING OFFICER

Rio de Janeiro, May 5, 2026 - PRIO S.A. (the "Company" or "PRIO") (B3: PRIO3), in compliance with best corporate governance practices, hereby informs its shareholders and the market in general that it that it has received the resignation of Mr. Francisco Francilmar Fernandes from the position of Chief Operating Officer, for personal and family reasons that require his full dedication, effective as of today.

The Company thanks Mr. Francilmar for his contributions to PRIO, particularly for the excellent operational performance achieved during his tenure leading the Operations area, and wishes him continued success.

The Board of Directors has elected Mr. Jean Carlos Calvi as Chief Operating Officer, effective as of today.

Jean is a petroleum engineer graduated from Universidade de Vila Velha, with approximately 18 years of experience in the oil and gas industry. He joined the Company in 2016 and, over nearly 10 years, has built his career at PRIO. Mr. Jean has been primarily responsible for the implementation of several transformational projects, including the Polvo drilling campaign in 2018, the Tubarão Martelo tieback in 2021, the Frade drilling campaign in 2022, and the recent Wahoo tieback.
