Turin, 13 May 2026 - The Board of Directors of Pattern S.p.A. (EGM: PTR), an Italian company established in 2000 by Francesco Martorella and Fulvio Botto and one of the leading players in the Engineering, Development and Production of clothing lines for high-end brands, met today and resolved to approve the Company's treasury share purchase and disposal program, in accordance with the terms, conditions and limits of the shareholders' resolution of 20 April 2026.
Purpose of the programThe program is aimed at:
disposing of and/or using treasury shares, in line with the strategic guidelines that the Company intends to pursue, as part of extraordinary transactions
using treasury shares as an investment for the efficient use of cash generated by the Company's core business
implementing share-based incentive plans
supporting the liquidity of the shares in compliance with the criteria set by the applicable regulations
pursuing purposes compatible with the laws and regulations in force from time to time
The share buyback program may be carried out from 19 May 2026 until 31 December 2026. The
maximum amount allocated to the program was set at € 500 thousand.
At today's date, the Company does not hold any treasury shares.
Operating proceduresPurchase transactions will be carried out by ensuring equal treatment among shareholders and in compliance with the operating procedures set out in the regulations governing the organization and management of multilateral trading facilities, also acting in accordance with Article 132 of Legislative Decree no. 58/1998 ("TUF"), Article 144-bis of the CONSOB Issuer Regulation adopted by Resolution no. 11971/1999, the procedures and operating limits under the MAR, including the Market Practices permitted pursuant to Article 13 MAR, EU Regulation 2016/1052 and the applicable general and sector-specific regulations, including the provisions of EU Regulation 2019/2115 or issued by CONSOB or ESMA.
Purchases may be carried out in several tranches, at a consideration not exceeding the higher of the price of the last independent transaction and the highest current independent bid on the trading venue where the purchase is made, without prejudice to the fact that share purchases may be carried out at a consideration not more than 15% below or 15% above the reference price recorded by the share in the trading session preceding each individual transaction.
Purchases will be carried out for volumes not exceeding 25% of the average daily volume of shares on the trading venue where the purchase is made, calculated on the basis of the average daily trading volume over the 20 trading days preceding the purchase date.
Additionally, the Board resolved to appoint CFO SIM S.p.A. as the intermediary responsible for executing market purchases throughout the duration of the program.
The Board of Directors also resolved to grant a mandate, to the extent necessary and in full compliance with the shareholders' resolution of 20 April 2026, to the Chairman of the Board of Directors, the Vice Chairman and the Chief Executive Officer, severally, so that they may carry out any act and/or action useful and appropriate for the execution of the above.
