EXTRAORDINARY INFORMATION Budapest, 30 October 2025 Information on the transfer of shares by a person closely associated with the person performing managerial responsibilities PannErgy Nyilvánosan Működő Részvénytársaság (company registration number: Cg. 01-10-041618; registered office: H-1112 Budapest, Boldizsár utca 2; hereinafter referred to as the " Issuer ""), pursuant to Section 55(1) and (2) of Act CXX of 2001 on the Capital Market (hereinafter referred to as the " Capital Market Act "), Point 1.30 of Annex 4 of Decree No 24/2008 (VIII. 15.) of the Ministry of Finance on the detailed rules of the information obligations relating to publicly listed securities, and Section 19(3) of Regulation (EU) No 596/2014 on market abuse (hereinafter referred to as " MAR "), hereby discloses the following information to the Honoured Investors. The Issuer's 100% owned subsidiary, PannErgy Geotermikus Erőművek Zártkörűen Működő Részvénytársaság (company registration number: Cg.01-10-046521; registered office: H-1112 Budapest, Boldizsár utca 2) as a person closely associated with the persons performing managerial responsibilities for the Issuer pursuant to Article 3(1)(26)(d) of MAR, has informed the Issuer pursuant to Article 19(1) of MAR that on 30 October 2025, the 20,000 pieces of PannErgy Ordinary Shares (ISIN code: HU0000089867) were returned by PannErgy Nyrt. Annex: Announcement PannErgy Nyrt. / PannErgy Plc. This announcement is published in Hungarian and English languages. In case of any contradiction between these two versions, the Hungarian version shall prevail.
