EXTRAORDINARY INFORMATION Budapest, 10 April 2026 Information on the acquisition of shares by a person closely associated with the person performing managerial responsibilities PannErgy Nyilvánosan Működő Részvénytársaság (company registration number: Cg. 01-10-041618; registered office: H-1112 Budapest, Boldizsár utca 2; hereinafter referred to as the " Issuer ""), pursuant to Section 55(1) and (2) of Act CXX of 2001 on the Capital Market (hereinafter referred to as the " Capital Market Act "), Point 1.30 of Annex 4 of Decree No 24/2008 (VIII. 15.) of the Ministry of Finance on the detailed rules of the information obligations relating to publicly listed securities, and Section 19(3) of Regulation (EU) No 596/2014 on market abuse (hereinafter referred to as " MAR "), hereby discloses the following information to the Honoured Investors. The FCI Kompozit Szigetelő Koltárolt Felelősségű Társaság (registered office: H-2251 Tápiószecső, Pesti út 17.; company registration number: Cg.13-09-168754; VAT registered number: 10891126-2-13) and the BERATTI FORTIS Vagyonkezelő Kft. (registered office: H-2251 Tápiószecső, Pesti út 17.; company registration number: Cg. 13-09-060313; VAT registered number: 10242845-2-13) as a person closely associated with the persons performing managerial responsibilities for the Issuer pursuant to Article 3(1)(26)(d) of MAR, has informed the Issuer pursuant to Article 19(1) of MAR that BERATTI FORTIS Vagyonkezelő Kft. and FCI Kompozit Szigetelő Kft. carried out a corporate transformation by way of merger through demerger, in the framework of which FCI Kompozit Szigetelő Kft, as the demerging and merging company, transferred to the acquiring company, BERATTI FORTIS Vagyonkezelő Kft., 762,000 ordinary shares issued by PannErgy Plc. and owned by FCI Kompozit Szigetelő Kft.
