One Share, One Vote: BMW AG Converts Preferred Shares into Ordinary Shares 30.06.2026 Press Release Top +++ Trading in BMW preferred shares ends today +++ Simplification of capital structure +++ 100th anniversary of BMW AG's stock market listing +++ Munich. As of today, all non-voting preferred shares of BMW AG will be converted into voting ordinary shares at a ratio of 1:1. The amendment to the Articles of Association, approved by a large majority at the Annual General Meeting on May 13, 2026, to convert nearly 55 million preferred shares into voting ordinary shares, has become effective upon its entry in the commercial register today. The custodial and stock exchange conversion of the former preferred shares will take place automatically, without any action required by shareholders, between July 1 and July 3, 2026. Trading and listing of preferred shares (ISIN DE0005190037 / WKN 519003) will cease at the end of June 30, 2026. Holders of the former 54,675,505 preferred shares will thus automatically become holders of ordinary shares (ISIN DE000519003 / WKN 519000), which are entitled to dividends as of January 1, 2026. The share capital of BMW AG, amounting to approximately €616 million, will then consist exclusively of ordinary shares, compared to the previous structure of 91% ordinary shares and 9% preferred shares. The unification into a single class of voting shares reflects the internationally recognized corporate governance principle of "one share, one vote". In addition, the conversion increases the free float of BMW AG ordinary shares by approximately 19%. This month marks the 100th anniversary of BMW on the stock exchange: in June 1926, Bayerische Motorenwerke Aktiengesellschaft was first listed on the Munich and Berlin stock exchanges.
