Notice Concerning Share Acquisition of WCS Abysena in Indonesia (Making it a Subsidiary)

We hereby announce that we and our subsidiary PT. NSSOL SYSTEMS INDONESIA ("NSIDN") have acquired all outstanding shares of PT. WCS ABYAKTA NAWASENA ("WCS Abysena") and it became our subsidiary on June 10, 2025. The details are as follows.

1. Reason for the share acquisition

   We have provided high-quality IT services by leveraging our extensive business expertise and advanced technological capabilities to meet various needs from the clients across diverse industries,

   including manufacturing, finance, distribution and services, telecommunication, and government and public sectors, both domestically and internationally. Under our "NSSOL 2030 Vision," we aim to become a "Social Value Producer with Digital," proactively creating value and leading efforts to address social and corporate challenges. To achieve this, we pursue the growth strategies through diverse ways for value creation. The global business is positioned as one of the growth strategies in "NSSOL 2030 Vision," aiming to expand into new areas and growth markets while creating the higher-value in existing domains. This includes providing services to local companies, as well as Japanese-overseas companies.

   In Indonesia, we established NSIDN in 2014 as a Southeast Asian base, following Singapore and Thailand. NSIDN provides a wide range of IT services to Japanese-overseas companies, including

   implementation and maintenance services for Enterprise Resource Planning systems ("ERP") such as Microsoft Dynamics 365.

   WCS Abysena is a company created through a spin-off from the Business Solution Division of PT

   Wahana Ciptasinatria, an Indonesian IT service provider, and has the over 20 years' experience providing consulting, implementation, and maintenance services mainly related to Microsoft

   Dynamics 365 to local companies. WCS Abysena is the Indonesian leading provider with Microsoft Solutions Partner certification, possessing deep expertise and high technical capabilities in Microsoft Dynamics 365.

   NSIDN and WCS Abysena will offer flexible and high-value services to meet the diversifying needs of Japanese-overseas companies and local companies by cooperating and sharing their marketing capabilities, resources, and expertise, which they have accumulated in the Indonesian Microsoft Dynamics 365 market. Furthermore, they aim to expand business throughout the ASEAN region, collaborating with our overseas bases in ASEAN countries, beyond Indonesia.

   Going forward, we, together with NSIDN and WCS Abysena, will enhance its capabilities of value creation and contribute further to societal development.
