As part of the dual listed company structure, Investec plc and Investec Limited (together "Investec") notify both the London and Johannesburg Stock Exchanges of those responsibilities (PDMRs) across the group in the securities of Investec plc and Investec Limited which are required to be disclosed under Article 19 of the Market Abuse Regulation (Regulation 596/2014), the Disclosure Guidance and interests (and changes to those interests) of persons discharging managerial Transparency Rules of the United Kingdom Listing Authority (the "UKLA") and/or the JSE Listings Requirements.
In relation to Investec Bank Limited, the JSE and the Cape Town Stock Exchange are notified of matters which are required to be disclosed under the JSE Debt and Specialist Securities Listings Requirements and CTSE Debt Listing Requirements.
INVESTEC BANK LIMITED, INVESTEC LIMITED AND INVESTEC PLC NOTIFICATION OF FUTURE BOARD CHANGE
The Boards of Investec Bank Limited, Investec Limited and Investec plc ("together referred to as the Investec Boards") advises that Vanessa Olver, an Independent Non-Executive Director of Investec, has notified the Investec Boards of her intention to assume an executive role outside of the group at the beginning of 2027. Vanessa currently serves as Chair of the Board Risk and Capital Committee and is a member of various Board committees in the group.
Vanessa will remain a director of the Investec Boards and will continue to discharge her responsibilities as a member of the Investec Boards and its committees pending her resignation from the Investec Boards prior to assuming the executive role.
The effective date of Vanessa's resignation from the Investec Boards will be confirmed in due course. The Investec Board's have initiated succession planning processes in anticipation of her departure and further announcements will be made regarding the associated Board and Committee appointments.
The Investec Boards express their appreciation for Vanessa's significant contribution to Investec's governance and strategic oversight and look forward to continuing to benefit from her service until her departure from the Investec Boards.
