New Sources signs term sheet regarding proposed investments in Hydro Drilling

New Sources Energy N.V. ("New Sources") announces that it has entered into a term sheet regarding a proposed strategic investment in Hydro Drilling S.r.l. ("HD"). HD is an Italian company active in geothermal drilling and related activities.

The term sheet contemplates a proposed investment through a subscription for newly issued shares. The proposed transaction is intended to support New Sources' strategy of investing in energy transition and critical raw materials opportunities. The term sheet is principally non-binding and remain subject to, among other matters:

• satisfactory completion of legal, financial, technical and other due diligence;
• negotiation and execution of definitive transaction documentation;
• receipt of required corporate approvals;
• satisfaction of applicable conditions precedent; and
• receipt of any required regulatory or third-party approvals.

There can be no assurance that the proposed transaction will be completed, nor that any definitive agreement will be entered into. New Sources will make further announcements if and when required pursuant to applicable laws and regulations.
