NCR (NIGERIA) PLC - PRESS RELEASE ON DEFAULT IN PUBLICATION OF THE UNAUDITED FINANCIAL STATEMENTS FOR THE FIRST QUARTER ENDED 31 MARCH 2026This is to notify the investing public and Nigerian Exchange Limited (NGX) that NCR (Nigeria) Plc (the Company) was unable to file its Unaudited Financial Statements for the first quarter ended 31 March 2026 (2026 Q1 UFS) with NGX by the regulatory due date of 30 April 2026.
This is because, while the Board at its meeting held on 22 April 2026 approved the 2026 Q1 UFS, the Company was unable to file the accounts because the rules of the NGX provide that Issuers cannot file the Unaudited Financial Statements of a new financial year until the outstanding Audited Financial Statements for the previous year have been filed.
The Company is yet to file its 2025 Audited Financial Statements (2025 AFS) as a result of its Board's inability to conclude consideration and approval of the accounts at its meeting held on 27 March 2026, due to the need for additional internal review arising from changes in the Company's shareholding structure during the 2025 financial year, which necessitated alignment of reporting processes. Please refer to our notice issued on 27 March 2026.
The Company wishes to inform the investing public that the 2025 AFS are now being concluded, and accordingly, the Company will be submitting both the 2025 AFS and the 2026 Q1 UFS by 30 May 2026 at the latest.
