Pursuant to the provisions of the Companies Act, 2013 (the "Act") and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "SEBI Listing Regulations"), please find enclosed a copy of the Postal Ballot Notice dated July 09, 2025together with the explanatory statement thereto, seeking approval of the Members of the Company for the appointment of Mr. Praveen Goyal (DIN: 11104068) as a Non-executive Independent Director of the Company for a period of 5 consecutive years commencing from May 15, 2025 to May 14, 2030 (both days inclusive), by means of electronic voting (remote e-voting) in compliance with the relevant circulars issued by the Ministry of Corporate Affairs ("MCA") and the Securities and Exchange Board of India ("SEBI") in this regard.
