The Management Board of MIRBUD S.A. (hereinafter referred to as: "the Company" "the Borrower") announces that today, on 6th February 2015 between the Company and Bank Gospodarstwa Krajowego with its registered office in Warsaw was signed an "Agreement for an operating credit in an open-end credit line" (hereinafter referred to as: "the Agreement") whose purpose is to finance the following contract: "The design and the construction of an expressway S-3 Nowa Sol - Legnica (A-4) task II from the junction Gaworzyce to the junction Kazmierzow (excluding the junction) with its length of about 16.900 km, which runs from the km 16+400 to the km 33+300".
- The amount of the credit limit: PLN 35,000,000 (thirty-five million zloty).
- Term of the Credit: from the signing date of the Agreement until 30th June 2018.
- Interest rate: variable, determined as the sum of the base rate WIBOR 3M and fixed margin of the bank (interest period: 1 month).
- Interest on overdue debt: variable, which is four times the current pledge securing rate of the NBP.
- Guarantees, inter alia:
b) authorization to the settlement account of the Borrower,
c) statement of submission to enforcement.
The Agreement does not contain any specific conditions and provisions regarding fees and commissions different from those commonly used for this type of agreement. The Agreement is considered as significant due to its value, which exceeds the equivalent of 10% of the equity capital of the Company as at 30th September 2014.
In the opinion of the Management Board of the Company, taking into account the intentional use of the credit for the construction of the expressway S-3 and the systematic repayment of existing liabilities by MIRBUD S.A., a new credit line does not significantly increase the Company's debt, but should definitely increase its operational capacity in the aforementioned project.
