Dear Melexis shareholder,
Melexis is a global leader in designing and delivering innovative sensor and driver solutions, primarily for the automotive sector based on a long-term vision: the automobile would evolve from a purely mechanical device into a highly advanced system where semiconductors enable safer, more efficient, and more comfortable mobility. For more than 35 years we have been a driving force behind the structural growth of semiconductor content in vehicles. Today the semiconductor content-per-vehicle continues to accelerate despite global auto production volumes below their 2017 peak. Each new generation of automobiles unlocks expanding applications for our technologies, and we expect the ongoing electrification of the auto industry will create substantial opportunities and fuel future growth.
The automotive industry is undergoing profound changes which are visibly accelerating. The advent and growth of powertrains based on electric motors has resulted in new vehicle manufacturers competing with established companies, as well as new ways of working requiring different skills and approaches. We are actively capturing the new opportunities presented by these changes.
Turning to the past year, 2025 saw an uneven recovery in our primary end market, the automotive industry. Geopolitics are challenging the global trading system created over decades, requiring companies to rethink their supply chains and consider how to make them more resilient. Demand was impacted by automotive customers working through their inventories and remains cautious with shorter-term order patterns. In this challenging and unstable environment, 2025 sales were EUR 840 million, a decrease of 10% compared to the previous year. Sales in
Asia Pacific year-on-year outperformed and represented 64% of group sales, the highest ever. From a product perspective, motor drivers and inductive position sensors outperformed group sales. While the gross profit margin of nearly 39% and operating margin of 16% was below our long-term objectives, we executed our cost improvement roadmap which is expected to contribute to better margins in 2026.
We mark four years of conflict in Ukraine, and remain deeply mindful of the ongoing challenges facing our colleagues and their families, while honoring the extraordinary resilience they demonstrate every day. This enduring commitment is shown by the successful conclusion of the product development cycle for a key customer, enabling transition of the product into its production phase.
Executing a sharpened strategy
In 2025 we sharpened our strategy with the overarching goal of leading in sensors and drivers in an electrified and robotized world. This is built on three long-standing pillars of technology leadership, customer intimacy and our asset-light fabless model, and adds a fourth pillar: offering system solutions such as mechatronic modules and complex packaging. These four pillars are complementary and allow us to develop our product portfolio to drive the success of our customers.
We made solid progress on our strategic objectives. Our commercial programs, with a specific focus on China and India, were intensified to further improve our market positions in these key markets. Specifically in China, we made important strides in implementing our strategy which will progressively include local wafer supply, packaging and testing. These steps will bring us closer to customers and allow faster response to their needs.

We worked on optimizing our operations throughout 2025 to be well positioned for the next phase of growth. For example, we are growing our operations in Kuching, Malaysia to be closer to customers in Asia Pacific which represent more than 60% of Melexis sales. Our strategy to build a more resilient supply chain, including wafer supply diversification continued, giving us more agility in today's dynamic trading environment.
We also took important steps to upgrade our leadership, including the hiring of Maxine Moor as Chief Operating Officer and Executive Team member. Furthermore, as vehicles and edge devices become increasingly complex, we added new software and mechanical competencies to complement our core semiconductor expertise.
Melexis is sustainable by design. In 2025 we worked to strengthen our sustainability strategy, including completing initial Product Carbon Footprint (PCF) calculations, launching products which enable our customers to create systems with fewer components and less material usage, and building further on our inclusive company culture.
A strong year of product launches and design wins to drive future growth
The success of Melexis relies on leveraging our technology leadership to anticipate and meet our customers' needs, and grow their business. I am very proud to share that, for the second year in a row, we achieved a high number of product launches, introducing 19 new products in 2025. Nearly half of these new product launches were designed for applications outside of the automotive sector, confirming our aim to capture substantial growth in these adjacent markets.
Highlights for the year included an inductive position sensor designed for next-generation automotive applications, which is particularly well-suited for modern steer-by-wire and braking implementations. We also established our newest product line-protective devices-building on our motor control and current sensing expertise. Our first product in this family, an integrated "snubber", extends EV driving range by protecting and optimizing the performance of silicon carbide (SiC) power modules used in high-voltage applications. Furthermore, we continued to lead
innovation in automotive ambient lighting with a code-free driver that significantly streamlines the development cycle and lowers the barrier to entry for our customers.
Outside of automotive we introduced several new products for the smart industrial, consumer, and robotics sectors. For example, we launched a thermographic infrared sensor to enhance safety and performance in industrial and AI-driven applications, an embedded motor driver for server cooling and smart valves, and an inductive position sensor to provide high-precision feedback for applications such as robotic joint control. The robotics market is the latest example of how Melexis enables Physical AI to deliver tangible benefits, by perceiving and physically interacting with the real world. Of course this is what we have been doing since our inception. The increasing use of robots has substantial potential for our existing product portfolio, which we are very excited to extend with a unique module solution incorporating tactile sensors, answering an unmet need: giving robots the sense of touch.
Structural growth of product launches continues to create new business and 2025 was no exception. We significantly increased the amount of customer opportunities, led by China, Europe, and South Korea.
Converting innovations into opportunities and then design wins drives future sales, and our teams finished the year strong in this regard. During the year, major achievements included a motor driver specifically designed for the 48V architecture of EV automobiles increasingly demanded by customers, and a significant win with a high number of inductive position sensors per robot, demonstrating Melexis's contribution to maturing Physical AI applications. Progress on these key metrics positions us very well for the future.
Dividend
The Board of Directors proposed to the annual shareholders' meeting a total dividend of EUR 3.70 gross per share over the result of 2025, stable compared with 2024.
Looking forward
While cycles are temporary, structural growth drivers endure. During the recovery phase of the current industry cycle, we can leverage a strategic asset - our inventory which is consciously built to serve customers even at short notice, while remaining disciplined in executing our cost improvement roadmap to improve profitability.
In parallel we maintain our focus on the long term. Our first priority remains to accelerate our innovation flywheel, playing into structural market trends such as battery integrity, a foundational requirement for end user trust and large-scale adoption. For example, we work to address critical challenges for our customers with two disruptive solutions: gas sensing for early detection of battery overheating, and strain sensing technologies to detect battery deformation, to extend the battery's useful life and preserve the value of the automobile.
We continue to strengthen our commercial teams and streamline our supply chain to be more resilient and efficient. We will continue to manage the present and prepare the future, in order to lead in sensors and drivers in an electrified and robotized world.

Final Test IC-based solutions are everywhereTo guarantee that the chip perfectly aligns with our customers' needs, we meticulously clarify every detail regarding its functions and operating parameters.
From architecture definition and component-level selection to rigorous simulation, our engineers create virtual integrated circuits that perform flawlessly.
Our layout engineers arrange the conceptual blocks so the integrated circuit can be physically produced. Like a microscopic Lego construction, each individual block is optimized and combined in order to minimize the total chip area.
Wafer testing, also known as probing, is done to guarantee the proper functionality of every chip we produced. This sophisticated process requires tiny needles that electrically connect each circuit to a tester.
Further testing is conducted to ensure the integrity of the final product. Every chip undergoes rigorous examination again, facing various conditions, including different temperatures, applicative stresses and more.
Every IC-based solution has its own story to live. Melexis makes unique IC-based solutions that sense the real world and drive the right e-motions.

The final layout is sent to a wafer fab, where photolithography is used to build multiple ICs on a silicon wafer. This process transforms high-purity sand into cutting-edge technology.

Latch and switch ICs
We offer a versatile portfolio of magnetic and inductive switching solutions tailored for robust performance. By combining standard Hall-effect sensors with our unique Triaxis® technology and Induxis® inductive platform, we deliver contactless detection that serves a vast range of industries, from automotive e-latches and seatbelts to power tools and medical devices.

Current sensor ICs
We offer a comprehensive portfolio of current sensing solutions, utilizing both Hall-effect (including our proprietary IMC-Hall®) and shunt technologies. This flexibility allows us to deliver the "fuel gauge" for the electric era, measuring power flow with exceptional precision across the entire vehicle powertrain, from the battery pack to the traction inverter, as well as in alternative electric mobility, renewable energy and energy storage systems.

Protective devices
We enable the next generation of power electronics with our new product line of protective devices. Our first product, an integrated Silicon RC Snubber, is designed specifically for high-voltage Silicon Carbide (SiC) power modules to resolve the critical power efficiency trade-off between switching speed and system stability. By integrating resistance and capacitance into a single monolithic chip, we provide a robust "shock absorber" for EV power electronic circuitry.

Embedded motor driver ICs
Our intelligent motor drivers integrate power, control, and communication on a single chip. In 2025, we leveraged this expertise to launch new solutions that expand our high-efficiency motor control portfolio into robotics and industrial applications.

Smart driver ICs

Why Melexis? We solve the noise and heat challenge. As electronics systems in cars or data servers become more powerful and power-hungry, they require active cooling that is both silent and reliable. Embedded lighting ICs
Our embedded lighting drivers, featuring our proprietary MeLiBu® technology, transform standard vehicle lighting into dynamic, animated communication systems. The Melexis Code of Conduct

Technology Leadership
Technology leadership is central to how Melexis creates durable differentiation. We focus on advancing sensors and drivers that deliver high performance, reliability, and efficiency in real-world conditions. Here, our deep expertise in mixed-signal design enables us to bridge the physical and digital domains, translating complex physical phenomena into accurate data and controlled action.
This leadership is built on a broad and differentiated technology base. Melexis develops and industrializes magnetic, inductive, pressure, current, and temperature sensing technologies alongside a broad portfolio of driver solutions for motors and lighting. These are supported by advanced integration features, functional safety capabilities, and a growing array of supporting software and design tools that enable engineers to address complex and mission-critical applications across multiple markets.
Platform execution and predictable industrialization lies at the core of our approach. We scale proven sensing and driver platforms across applications and end markets, then enhance performance generation after generation through design, packaging, and functionality improvements, which allows us to respond quickly to evolving customer requirements.
In practice, this has translated into a markedly higher product launch cadence. Where Melexis introduced an average of around seven new products per year between 2015 and 2019, this increased to approximately sixteen launches per year over the 2020-2024 period, with nineteen product launches in 2025. This progression reflects the transition from platform build-up to scalable execution, while maintaining long product lifecycles and industrial-grade reliability.
This increasing launch tempo is based on a robust innovation funnel, with typically 10-15 innovation and pre-development programs and 20-25 development programs initiated each year, ranging from long-term technology exploration and near-term product launch.
Our technology leadership is the result of sustained investment in research and development, a strong intellectual property position, and close interaction between engineering, application, and system teams. Supported by a portfolio of more than 400 patents and an average of around 40 new patent families filed annually, Melexis embeds innovation into our core platforms in a way that is mass-producible and aligned with real application needs, enabling durable long-term differentiation.
Customer intimacy
Customer intimacy is how we connect our innovations with customers so they can win in the market. We work closely with customers across the full lifecycle of their products, from early concept and design through industrialization and long-term production. This proximity enables us to understand application requirements in depth and to anticipate challenges of tomorrow before they arise.
By combining technical expertise with application and system knowledge, we are able to create solutions that address specific customer needs while remaining scalable across platforms. In many complex and performance-critical applications, our engineers work alongside customers to support architecture definition, component selection, and system validation, including in-depth technical analysis and simulation where required. Automotive
Automotive is the foundation of our business and will remain one of our core markets for the long term. The ongoing transformation of the automotive industry, driven by electrification, advanced driver assistance systems (ADAS), increased automation, and the shift toward software-defined vehicles (SDVs), continues to increase the importance and complexity of sensing and driver technologies.
Within automotive, Melexis concentrates on application areas where sensing and driver technologies play a critical role in system performance, safety and efficiency. These include powertrain, thermal management, chassis, and lighting. Across these domains, electrification and system integration are materially increasing semiconductor content per vehicle. New electric vehicle (EV) platforms typically incorporate at least 50% more semiconductor content than conventional ICE vehicles, with hybrid architectures driving even higher content growth as sensing, control, and power management requirements expand at the system level.

The automotive domains where Melexis is most focused show strong structural growth, including EV powertrain and lighting applications growing at around 19% CAGR between 2025 and 2030, EV battery at around 10%, EV thermal management at around 9%, and e-braking and e-steering at around 7% over the same period. Taken together, these focus areas represent an addressable automotive market growing at an average rate of approximately 11% CAGR, driven by rising semiconductor content and increasing system complexity.
Automotive in China: Deep Local Roots in a Market Shaping Global Automotive
China has become a defining force in the global automotive industry, setting the pace for electrification, innovation, and platform evolution. Rapid development cycles, a greater focus on cost, and system-level integration requirements are reshaping how vehicles are designed and manufactured, with expectations that increasingly influence global automotive markets.
Melexis has been active in China for more than two decades and has built a strong, trusted position with both international and domestic OEMs and Tier 1 suppliers. Our quality track record, continuous product innovation, and long-standing customer relationships have enabled growing engagement across key automotive domains, including powertrain, thermal management, chassis, and lighting.
As the market accelerates, Melexis has entered a new phase of its China strategy, designed to compete at the speed of China while maintaining automotive-grade standards. Outside Automotive
Alongside automotive, Melexis is expanding into other markets that offer strong structural growth and increasing system complexity. These activities represent a smaller but faster-growing part of the portfolio, with beyond-automotive applications expected to grow at a faster rate overall than automotive until 2030, driven by new product introductions and deeper market penetration.
Robotics: Enabling the Next Generation of Intelligent Automation
Robotics represents a natural extension of our expertise into a market that is still early in its adoption curve but is evolving rapidly. As robots move beyond fixed industrial environments into collaborative, mobile and service-oriented applications, system requirements are becoming more demanding. Precision, robustness, safety, and reliability, long-established expectations in automotive and industrial markets, are now equally critical in robotics.
Our experience in designing sensing and driver technologies for harsh, safety-critical environments positions us well to support this transition. Tactaxis® is an application-ready tactile sensing solution designed as a fingertip assembly, enabling three-dimensional force sensing through a soft contact surface. By allowing robots to detect touch and interaction directly at the end effector, it supports the next generation of more capable and collaborative robotic systems.
Melexis has also introduced solutions tailored to robotics-specific integration challenges in motion control. Arcminaxis® addresses position and speed sensing in robotic joints, combining high precision with relaxed mechanical integration requirements, including mounting on hollow shafts, to support compact and flexible robotic designs.

We have focused on strengthening our sustainability strategy by building processes and internal policies necessary to match our inherent commitment to people and the planet. While global standards evolve, we remain constant in our commitment to scientific facts and honest results to ensure transparency.
From Carbon Footprint to Carbon Handprint: our dual focus
Our commitment to sustainability extends beyond Melexis' internal operations by considering our carbon handprint-the avoided emissions and resource savings our customers achieve by using our technology. This concept captures the true value of our innovation and represents the positive, real-world contribution Melexis makes toward a sustainable future. While a footprint measures the carbon emissions we generate, it tells only part of the story; we now also place emphasis on the environmental benefits realized through the use of our products.
By analyzing our value chain from cradle-to-gate and moving from high-level corporate data to granular, product-level insights, we are empowering our customers with the precise data they need to achieve their own sustainability targets. In 2025, we reached a significant milestone by completing initial Product Carbon Footprint (PCF) calculations for a strategic group of products.

Melexis is dedicated to building a sustainable future. Our 2025 Sustainability report below highlights this commitment and transparently details the principles and methods we used to ensure a comprehensive overview of our sustainability performance. For the reporting year ended 31 December 2025, we report in accordance with article [3:32/2] of the Companies' and Associations' Code, including compliance with the applicable European Sustainability Reporting Standards (ESRS). This includes:
compliance of the process carried out to identify that the information reported in the Sustainability report (the "Process") is in accordance with the description set out in note [ESRS 2 IRO-1]
compliance of the Sustainability report with Article 8 of EU Regulation 2020/852 (the "Taxonomy Regulation").
The contents of the Sustainability report were subject to a limited assurance report in accordance with ISAE 3000 (Revised). The Independent Auditor's Report on a Limited Assurance Engagement can be found on page 182.
The consolidated sustainability statements are part of the company's consolidated directors report, which was authorized for issue by the Board of Directors on 30 March 2026.
Based on extensive research, data analysis, and stakeholder engagement, this report showcases our sustainability initiatives and their impact. It reflects our dedication to transparency and accountability throughout our operations and value chain.
No information on intellectual property, knowhow or results of innovation were omitted in the Sustainability report.
Where metrics have been reported previously, we present comparative information. The comparative information in the sustainability statement and disclosures related thereto are presented and have been subject to limited assurance procedures, unless stated otherwise in the relevant sections of the Sustainability report. For specific metrics, the company makes use of the transitional provisions in accordance with ESRS 1.
As a general note, we are committed to the continuous improvement of all matters addressed in this Sustainability report, a principle that has guided our operations throughout our history.
Basis of sustainability statementTo prepare our sustainability statement for the year 2025, the same Melexis entities were considered as included in our financial statements under the consolidation scope. The consolidated financial statements present the results of the company and its subsidiaries as if they formed a single entity, and our non-financial reporting takes that same scope.
This approach of using a consolidated basis covering the same areas as our financial reporting gives a clear and consistent picture of our financial and sustainability performances at group level. This increases transparency, and makes it easier to understand our overall impact. It allows us to create a unified strategy that supports our overarching business goals.
Coverage of value chainFor the preparation of our Double Materiality Assessment and potentially related impacts, risks and opportunities, we considered our broader value chain, including suppliers of our suppliers, and different levels of customers. Our indirect suppliers (including Tier-2) were indirectly covered through performing an industry analysis and by consulting materiality support tools.
We work closely with our strategic suppliers to ensure they use sustainable practices for sourcing raw materials and manufacturing. We also encourage sustainable product use and responsible disposal, promoting a circular economy by minimizing waste and maximizing recycling and/or re-use.
This report gives our stakeholders a clear picture of how we approach sustainability reporting. Melexis is dedicated to improving our sustainability practices and reporting transparently as we work towards a successful and sustainable future.
In our Sustainability report, we use the option to omit information required by ESRS 2 SBM-1, ESRS 2 SBM-3, ESRS E1-9, ESRS E5-6, ESRS S1-7, ESRS S1-11, ESRS S1-12, ESRS S1-13, ESRS S1-14, and ESRS
S1-15 in accordance with Appendix C of ESRS 1 and with the Delegated Act published in July 2025.
