Notice Regarding Business Transfer of Consolidated Subsidiary

The Business of PharField Corporation, a Wholly Owned Subsidiary of MEDIPAL HOLDINGS CORPORATION, will be Transferred to A2 Healthcare Corporation,

a Wholly Owned Subsidiary of ITOCHU Corporation

October 28, 2025 MEDIPAL HOLDINGS CORPORATION

MEDIPAL HOLDINGS CORPORATION (headquarters: Chuo-ku, Tokyo; President and CEO: Shuichi Watanabe; "MEDIPAL") announces that it has decided to transfer the business of its wholly owned subsidiary, PharField Corporation (headquarters: Koto-ku, Tokyo; President and CEO: Tsukasa Yamaguchi; "PharField"), to A2 Healthcare Corporation (headquarters: Bunkyo-ku, Tokyo; President and CEO: Hitoshi Kamiya; "A2 Healthcare"), a wholly owned subsidiary of ITOCHU Corporation (headquarters: Minato-ku, Tokyo; President and COO: Keita Ishii; "ITOCHU").

Pharfield was established in October 2020 by taking over the PMS (Post-Marketing Surveillance) business of MEDIPAL Group's wholly owned subsidiaries, MEDICEO CORPORATION, EVERLTH Co., Ltd., and ATOL CO., LTD, through a company split.

A2 Healthcare has an Evidence Solutions Department, a group of professionals who provides a wide range of drug fostering and evolution evidence, and has an impressive track record in clinical research and trials. In addition, A2 Healthcare has previously collaborated with Falfield on PMS monitoring work. For these reasons, MEDIPAL believes that this business transfer will bring new knowledge to A2 Healthcare, enable the company to provide one-stop services to its clients, strengthen its clinical development support system, and increase added value.

The MEDIPAL Group will continue to strive to build a system that provides comprehensive support from the clinical trial stage through to market launch and distribution, thereby making further contributions to resolving various issues in the domestic pharmaceutical market, such as eliminating drug lag and loss by supporting overseas manufacturers in introducing drugs that are not approved in Japan, and ensuring a stable supply of generic drugs.

The business transfer is scheduled to take place on November 1, 2025, with the Pharfield business being transferred to A2 Healthcare. The impact of this business transfer on the MEDIPAL's consolidated financial results for the fiscal year ending March 31, 2026 is expected to be minor.
