VOLUNTARY ANNOUNCEMENT

GRANT OF SHARE AWARDS AND SHARE PURCHASE PURSUANT TO

SHARE AWARD SCHEME

Reference is made to the announcement of Medialink Group Limited (the "Company") dated 6 February 2020 in relation to the adoption of the Share Award Scheme (the "Announcement"). Unless otherwise defined, capitalized terms used in this announcement shall have the same meanings ascribed to them in the Announcement. The Share Award Scheme does not constitute a share option scheme pursuant to Chapter 17 of the Listing Rules.

GRANT OF SHARE AWARDS PURSUANT TO SHARE AWARD SCHEME

On 31 March 2021, the Board resolved to grant a total of 1,750,000 award shares (the "Award Shares") to 31 Eligible Persons, who are employees of the Company. None of them is a director, chief executive or substantial shareholder of the Company, nor an associate (as defined under the Listing Rules) of any of them, nor a Connected Person of the Company as at the date of this announcement. Such Award Shares are vested to the 31 Eligible Persons on 31 March 2021. There is no specific condition or lock up restriction attached to the Award Shares.

The Award Shares granted represent approximately 0.0879% of the Company's total number of issued Shares as at the date of this announcement. The closing price of the shares of the Company on the date of grant of the Award Shares was HK$0.166 per Share. All of the Award Shares were granted by way of acquisition of existing Shares through on-market transactions by the Trustee. The grant of the Award Shares will not result in any issue of new Shares or any dilution effect on the shareholdings of existing shareholders of the Company.

SHARE PURCHASE PURSUANT TO SHARE AWARD SCHEME

During the period from 2 March 2021 to 31 March 2021, the Trustee purchased an aggregate of 1,500,000 Shares (the "Shares Purchased") on the market for the purpose of the Share Award Scheme and the grant of the Award Shares. Details of the Shares Purchased and the latest information about the Shares held by the Trustee are as follows:
