MASTERPLAST Nyilvánosan Működő Részvénytársaság (registered seat: 8143 Sárszentmihály, Árpád u. 1/A., hereinafter referred to as the "Company") hereby informs the honourable Investors of the resolutions adopted by the Company's Board of Directors at its meeting held on 17 February, 2026: Following a review of its insulation materials portfolio, the Board of Directors decided that the strategic focus will continue to be on glass wool production, its technological development and capacity expansion. In order to ensure the competitive implementation of the related investments, the Company will examine the possibilities for expanding glass wool production in Szerencs and increasing its capacity. The Board of Directors further acknowledged that, under the publicly disclosed terms and conditions of the agreement concluded between the Company and Market Építő Zrt. on 14 January 2025, the negotiations with interested partners regarding the implementation of the stone wool manufacturing plant project of MIP Alapanyaggyártó Zártkörűen Működő Részvénytársaság (registered seat: 1037 Budapest, Bojtár utca 51., company registry number: Cg.01-10-141954, a hereinafter referred to as: "MIP Zrt.") were unsuccessful. Developments in the turbulent global market environment in 2025 compelled investors to adopt a more conservative stance than previously. At the same time, changes in the business environment resulted in a deterioration of the key conditions for the implementation of the investment. Accordingly, based on preliminary consultations with the shareholders of MIP Zrt, the Board of Directors approved that the shareholders withdraw from the implementation of the stone wool manufacturing plant project. The Board of Directors reviewed the Group's EPS production situation and the unfavourable market conditions in Italy, and in order to avoid further losses, decided to discontinue EPS production of Masterplast Italia S.r.l. (registered seat: 42049 Calerno (RE), Via Tommaso Edison 17. - Italy, registration number: RE - 328979) and the Company removes the production lines from the Calerno plant. The strategic presence in the Italian target market will be maintained and commercial activities will continue. The Company is examining the possibilities for utilizing decommissioned machines and integrating them effectively into the regional production structure. The Board of Directors further supported in order to increase sales in Hungary that the Company focus on ramping up production at the EPS plant in Kál, in Heves County, which was suspended in 2025, but will restart this spring and asked management to develop a business plan for expanding its activities.
