  2. Reason

The company's basic policy is to collect funds for research and development and capital investment, which are required for Mabuchi's growth and development, from internal reserves, to maintain financial soundness, and to actively returning profits to shareholders according to performance.

Under this policy, with the aim of providing continuous and stable dividends, we will implement dividends based on the dividend on equity (DOE) ratio. Specifically, as a standard for determining the basic dividend amount, we intend to decide dividends comprehensively considering cash flow, the business environment, and other factors, with a target DOE range of 3.0% to 4.0%. Furthermore, if the ROE for the previous fiscal year is below 10% or the PBR is below 1.0, dividends will be based on a DOE of 4%. In addition, when the amount corresponding to a 4% DOE results in a dividend payout ratio below 50%, dividends will exceed a DOE of 4%, setting the dividend payout ratio of 50% as the minimum. This policy will be applied from fiscal 2025 (the fiscal year ending December 2025).

In line with this policy, we plan to pay ¥106 per share making a record high as annual dividend for the year ended December 2025. We have already paid ¥39 per share as interim dividend, so we plan to pay ¥67 per share as year-end dividend.

We have increased the dividends by ¥28 each from the previous announced year-end forecast of ¥39 per share and the previous announced annual dividend forecast of ¥78 per share, announced on February 14, 2025.
