LOTTOMATICA GROUP S.P.A. REGISTRATION IN THE COMPANIES REGISTER OF THE DEED OF MERGER BY INCORPORATION OF LOTTOMATICA S.P.A. INTO LOTTOMATICA GROUP S.P.A. Rome (Italy), 28 October 2024 - Further to the statement issued on 24 October, 2024, Lottomatica Group S.p.A. (" Lottomatica Group ") and Lottomatica S.p.A. (" Lottomatica ") hereby announce that on 25 October, 2024 the deed of merger by incorporation of Lottomatica into Lottomatica Group (the " Merger ") has been registered in the Companies Register of Rome. The Merger will therefore be effective as of 1 November 2024 (included) (the " Legal Effective Date "). As of the Legal Effective Date Lottomatica Group shall take over, by full right and without interruption, all the active and passive legal relationships pertaining to Lottomatica. Furthermore, as of the Legal Effective Date, all corporate bodies and offices of Lottomatica shall cease for all legal purposes, and the powers of attorney granted by the same corporate bodies in the exclusive interest of Lottomatica shall be revoked ipso jure.
