Liontrust Asset Management Plc ("Liontrust" or the "Company") 2025 Annual General Meeting - Voting Results Update Statement At Liontrust's Annual General Meeting on 18 September 2025, Resolution 2 (the Directors' Remuneration Report) and Resolution 14 (Further Disapplication of Pre-emption Rights) were passed with 72.57% % and 79.09% of votes in favour respectively. In accordance with Provision 4 of the FRC's 2024 UK Corporate Governance Code, the Company has released this statement to provide an update to shareholders on the actions taken and the views received from shareholders, following the vote. In relation to Resolution 2 (the Directors' Remuneration Report) the Board consulted with 19 of the Company's largest institutional shareholders on the implementation of the Directors Remuneration Policy. The Board did not consult with shareholders' proxy advisers given that they were supportive of our remuneration resolutions. During these consultations, concerns were raised about the disclosure of the targets of the 2025 Long Term Incentive (LTI) awards (granted on 27 June 2025 after the announcement of our 2025 results), and the approach to the annual bonus methodology. The Board was pleased that the large majority of shareholders who voted are supportive of our Remuneration Policy and the recommendations of the Remuneration Committee and the Board. The Board would like to thank shareholders that took part in the engagement process. Having considered the feedback, the Board has concluded that changes will be made to enhance LTI disclosures and our bonus methodology. In addition, the Board will continue with its constructive dialogue with shareholders around remuneration.
