· Issued by YouGov plc via RNS

Summary by 6ix

YouGov, an international research and data analytics group, began a programme on October 13, 2026 to buy back its ordinary shares of 0.2p each. The programme is for up to a maximum total of £15 million and replaces its annual dividend for FY26 (fiscal year 2026).

Key details

  • YouGov intends to cancel all shares bought under the programme, which it says is meant to reduce its share capital.
  • The Board said it believes there is a disconnect between the share price and the company's intrinsic value, and re-evaluated its distribution policy for this year as a result.
  • Joh. Berenberg, Gossler & Co. KG, London Branch (Berenberg) will buy shares on the open market for YouGov, including during closed periods. It will make trading decisions independently within parameters agreed in advance, and YouGov can end the agreement in certain limited circumstances.
  • Purchases use the authority shareholders granted at the Annual General Meeting on December 4, 2025, and follow the UK Market Abuse Regulation and the Financial Conduct Authority's Listing Rules.
  • YouGov will report any purchases no later than 07:30 (UK) on the seventh daily market session after each purchase.

What’s still pending

  • The programme is expected to be completed within the second half of FY27 (fiscal year 2027).
  • The £15 million is a maximum, so the full amount may not be spent.

Launch of share repurchase programme

YouGov, the international research and data analytics group, announces that it is commencing a share repurchase programme of its ordinary shares of 0.2p each ("Ordinary Shares") effective today.

As previously announced, the Board believes there is a disconnect between the prevailing share price and the Company’s intrinsic value, and as a result the Board has re-evaluated its distribution policy for this year. This programme will be up to a maximum aggregate consideration of £15 million, in lieu of our FY26 annual dividend.

The purpose of the programme is to reduce YouGov’s share capital, and the Company intends to cancel all Ordinary Shares purchased under the programme. The programme is expected to be completed within the second half of FY27.

The Company has entered into non-discretionary arrangements with Joh. Berenberg, Gossler & Co. KG, London Branch (“Berenberg”) to conduct open market purchases on its behalf, including during any closed periods. Berenberg will make trading decisions under the programme independently of the Company, subject to certain parameters agreed between Berenberg and the Company prior to the commencement of the programme and to the Company's right to terminate the agreement in certain limited circumstances.

The repurchase programme will be conducted within the authority granted by shareholders at the Annual General Meeting on 4 December 2025 and in accordance with the UK Market Abuse Regulation (“MAR”) and the FCA's Listing Rules (“LR”). The Company will announce any market repurchase of Ordinary Shares no later than 07:30 (UK) on the day of the seventh daily market session following the repurchase.
