Microlise Group: Launch of Share Buyback Programme

· Issued by Microlise Group plc via RNS

Summary by 6ix AI

Microlise Group plc, a provider of transport management software to fleet operators, began a share buyback programme on October 15, 2026 to repurchase its ordinary shares for up to a maximum of £1.0 million, financed from existing cash resources. The Board says it believes the current share price undervalues Microlise.

Key details

  • Microlise says the buyback aims to reduce share capital, return capital to shareholders who take part and meet future staff share scheme obligations, partially reducing future dilution. Bought shares will be held in treasury (kept by the company) and may be reissued to meet investor demand.
  • Canaccord Genuity Limited, the company's nominated adviser and broker, will run the programme under authority shareholders granted at the annual general meeting on June 24, 2026, making trading decisions independently of Microlise.
  • The maximum price per share is the higher of 5% above the average middle market price over the five business days before the purchase, and the higher of the last independent trade price and the highest current independent bid. The minimum price is £0.001.
  • Because trading in its shares is limited, purchases on a day may exceed 25% but stay below 50% of the average daily trading volume over the previous 20 trading days, so the company may not benefit from a regulatory exemption (Article 5(1)) tied to volume limits.
  • As at October 15, 2026, Microlise had 115,983,483 ordinary shares in issue, all with voting rights, with none held in treasury. Repurchases will be announced weekly, and no later than the end of the seventh market session after each purchase.

What’s still pending

  • The programme will end on January 31, 2027, or earlier if the £1.0 million maximum is reached or the process is terminated or paused.
  • Purchases will depend on market conditions, share price and trading volume, and there is no certainty that any buybacks will be completed.
  • The broker may pause the programme at any time if it considers this appropriate given market conditions.

Microlise Group plc

("Microlise", "the Group" or "the Company")

Launch of Share Buyback Programme

Microlise, a leading provider of transport management software to fleet operators, announces that from today, the Company will commence a share buyback programme to repurchase ordinary shares of £0.001 each in the Company ("Ordinary Shares") for up to a maximum amount of £1.0 million (the "Share Buyback Programme"). All Ordinary Shares acquired under the Share Buyback Programme will be held in treasury, and the Share Buyback Programme will be financed from existing cash resources.

The purpose of the Share Buyback Programme is to:

(i)                   reduce the share capital of the Company and to return capital to those shareholders wishing to participate in the Share Buyback Programme; and

(ii)                 satisfy future obligations from Microlise’s staff share schemes, thus partially reducing future dilution for shareholders, and provide flexibility to reissue the treasury shares if required to satisfy investor demand.

The Board believes that the current share price undervalues Microlise and its future prospects and that the Share Buyback Programme represents an effective use of the Group's cash balances to deliver value for shareholders, in line with Microlise's approach to capital allocation. Microlise continues to have financial flexibility to support the execution of its growth strategy.

The Company has instructed Canaccord Genuity Limited, the Company's nominated adviser and broker (the “Broker”), to conduct the Share Buyback Programme on its behalf on a broker-managed basis in relation to the purchase of Ordinary Shares. The Broker will make trading decisions in relation to Ordinary Shares purchased under the Share Buyback Programme independently of, and uninfluenced by, Microlise.

The Share Buyback Programme will be effected within certain pre-set parameters, including that the maximum price paid per Ordinary Share shall be i) no more than 105% of the trailing five-day average mid-market price; and ii) no higher than the price of the last independent trade and the highest current independent bid, in accordance with and under the terms of the general authority granted to the Board by the Company's shareholders at the Company's annual general meeting on 24 June 2026 (the "General Authority").

The Share Buyback Programme will expire on 31 January 2027, or earlier, if the maximum aggregate consideration of £1.0 million has been reached or the process is terminated or paused.

Any market repurchase of Ordinary Shares will be announced on a weekly basis, and in any event by no later than the end of the seventh daily market session following the date of execution.

Further details of the Share Buyback Programme

  • The aggregate number of Ordinary Shares acquired by the Company pursuant to the Share Buyback Programme shall not exceed the maximum number of Ordinary Shares which the Company is authorised to purchase pursuant to the General Authority, set out above.
  • In accordance with the General Authority, the maximum price paid per Ordinary Share acquired by the Company pursuant to the Share Buyback Programme is to be no more than the higher of: (i) 5% above the average middle market quotations for an Ordinary Share as derived from the London Stock Exchange Daily Official List for the five business days immediately preceding the day on which the purchase is made; and (ii) an amount equal to the higher of the price of the last independent trade and the highest current independent bid as derived from the trading venue on which the purchase is carried out. Furthermore, in accordance with the General Authority the minimum price payable per Ordinary Share acquired by the Company pursuant to the Share Buyback Programme is £0.001.
  • It is intended that the Share Buyback Programme will be conducted within the volume limits of the exemption contained in Article 5(1) of the Regulation. Due to the limited liquidity in the issued Ordinary Shares, a buy-back of Ordinary Shares pursuant to the General Authority on any trading day may represent a significant proportion of the daily trading volume in the Ordinary Shares on AIM and may exceed 25% of the average daily trading volume but remain below 50% of the average daily trading volume in the Ordinary Shares in the 20 trading days preceding the date on which a buy-back of Ordinary Shares is carried out. Whilst the Company intends to conduct the Share Buyback Programme in accordance with the principles of Article 5(1), purchases may exceed 25% of the average daily trading volume due to the limited liquidity in the Company's shares. Accordingly, the Company may not benefit from the exemption contained in Article 5(1).
  • Share buybacks will take place in open market transactions and may be made from time to time depending on market conditions, share price and trading volume. There is no certainty that any buybacks will be completed. The Share Buyback Programme may be paused at any time if deemed appropriate by the Broker with respect to market conditions.
  • The Company is not in a close period and currently has no unpublished inside information.
  • The Share Buyback Programme will operate in accordance with and under the terms of the relevant General Authority.
  • The Company confirms that as at 15 October 2026, its issued share capital consisted of 115,983,483 Ordinary Shares, all with voting rights, with no Ordinary Shares are currently held in treasury. The total number of voting rights in the Company as at 15 October 2026 is therefore 115,983,483.

The Board has determined that the commencement of this Share Buyback Programme is in the best interests of the Company and its shareholders.
