KRTL Holding Group, Inc. Announces Exclusive Distribution and Commercialization Agreement With Star Pharmaceuticals

KRTL Holding Group, Inc. (OTC: KRTL) (“KRTL” or the “Company”), today announced that its wholly owned subsidiary, KRTL Biotech, Inc. (“KRTL Biotech”), has entered into a Distribution, Supply and Promotion Agreement with Star Pharmaceuticals, LLC (“STAR”). Under the terms of the arrangement, KRTL Biotech obtained exclusive rights, subject to performance requirements, to commercialize, distribute, and promote certain non-prescription formulations within the United States, Central America, South America, the Caribbean, and Thailand. The arrangement has an initial five-year term and includes a revenue-sharing structure tied to net sales.

This strategic collaboration positions KRTL Biotech within a growing segment of the broader health and wellness and specialty product markets, where demand for differentiated formulations, alternative delivery formats, and internationally scalable distribution platforms continues to evolve. The Company believes this structure enables participation in emerging product categories while maintaining a disciplined, compliance-first operating model.

The framework also provides for KRTL Biotech to oversee regulatory coordination, market development, distribution, and promotional activities, while utilizing third-party manufacturing partners operating under applicable current Good Manufacturing Practice (cGMP) standards. STAR will contribute product-related intellectual property and technical support under an exclusive license within the defined field.

The collaboration is expected to focus initially on non-prescription product formats, including capsule and gummy formulations. These delivery formats are increasingly prevalent across consumer-facing health and wellness markets, offering potential for differentiated positioning, retail accessibility, and cross-border distribution strategies, subject to applicable regulatory frameworks.
