Summary by 6ix AI

On October 14, 2026, a court made a winding-up order, an order to close down and liquidate a company, against Petra Diamonds UK Treasury Limited, a wholly owned, indirect subsidiary of diamond miner Petra Diamonds Limited, following a petition by HM Revenue & Customs (HMRC).

Key details

  • HMRC's petition, advertised in the London Gazette and first disclosed by Petra Diamonds on October 2, 2026, concerned £5,647,811.32 of corporation tax for the year ended June 30, 2025.
  • The tax arose on interest income accrued on a receivable due from Ealing Management Services (Proprietary) Limited, another indirectly, wholly owned subsidiary; Petra Diamonds says the interest was not and has not been received by Petra Diamonds UK Treasury Limited.
  • Petra Diamonds says both subsidiaries are non-operating, do not own or operate any of its mining operations, and that the petition relates solely to Petra Diamonds UK Treasury Limited and does not directly affect the group's mining operations.

What’s still pending

  • Petra Diamonds is assessing the implications of the petition for the group's financing arrangements and ongoing refinancing discussions.

Further update in relation to Petra Diamonds UK Treasury Limited

On 2 October 2026, the Company announced that a winding-up petition in respect of Petra Diamonds UK Treasury Limited ("PDUK Treasury"), a wholly owned, indirect subsidiary of the Company, had been advertised in the London Gazette by HM Revenue & Customs ("HMRC") (the "Petition") in respect of £5,647,811.32 for the year ended 30 June 2025, due to HMRC in relation to corporation tax. This arose in respect of interest income accrued on a receivable due from Ealing Management Services (Proprietary) Limited, another indirectly, wholly owned subsidiary of the Company and affiliate of PDUK Treasury. This liability to tax arose notwithstanding that the accrued interest was not and has not been received by PDUK Treasury from its affiliate. Both PDUK Treasury and Ealing Management Services (Proprietary) Limited are non-operating subsidiaries of the Company and do not own or operate any of Petra's mining operations.

At the hearing of the Petition today, the court made a winding-up order in respect of PDUK Treasury. The Petition relates solely to PDUK Treasury and does not directly affect the Group's mining operations. The Company is assessing the implications of the Petition for the Group's financing arrangements and ongoing refinancing discussions. Further updates will be provided as and when appropriate.

The person responsible for releasing this announcement is Tumi Dakada, Acting General Counsel and Company Secretary of the Company.
