S.p.A. - an Italian independent Contract Solutions Development & Manufacturing Organization (CSDMO) specialising in the contract development and manufacturing of products for the nutraceutical, pharmaceutical, and cosmetics industries, listed on Euronext STAR Milan (ticker: FF) notified today the Presidency of the Council of Ministers regarding its acquisition of all Sofar S.p.A. shares from Alfasigma S.p.A., under Decree Law No. 21 of 15 March 2012, as converted with amendments by Law No. 56 of 11 May 2012, as amended and supplemented ("Golden Power" regulation). As announced on 17 April 2026, the acquisition supports Fine Foods' industrial strategy to strengthen and expand its production. The enterprise value assigned to Sofar S.p.A. was €27 million. The company reported net revenue of €31.8 million, EBITDA of €8.9 million, a net profit of €4.4 million, and a net financial position of €5.3 million as of 31 December 2025. Under applicable regulations, the Golden Power procedure must be completed within 45 days of notification, unless suspended or extended.
