COMMUNICATION PURSUANT TO ART. IA.2.6.8 OF THE INSTRUCTIONS REGULATING MARKETS ORGANIZED AND MANAGED BY BORSA ITALIANA
APPROVED A RELATED PARTY TRANSACTION BETWEEN FIERA MILANO AND FONDAZIONE FIERA MILANO CONCERNING THE AMENDMENT OF THE LEASE AGREEMENTS FOR THE COMPANY'S HEADQUARTERS AND THE RHO EXHIBITION DISTRICT Milan, 31 July 2025 - Fiera Milano S.p.A. ("Fiera Milano" or the "Company") announces that the Company's Board of Directors, which met today, approved a related party transaction (the "Transaction") between (i) the Company and (ii) its parent company Fondazione Ente Autonomo Fiera Internazionale di Milano ("Fondazione Fiera Milano" or the "Parent Company"), concerning the amending agreements to the lease contracts for the Rho exhibition district (the "External Hub") and the Company's headquarters (the "Torre Orizzontale"), both owned by Fondazione Fiera Milano (the "Amending Agreements to Lease Contracts").The Transaction is part of a broader process of rationalization and reorganization of corporate spaces, which began with the relocation of the Company's headquarters to the Torre Orizzontale.
The terms and conditions of the Transaction are outlined in a binding term sheet signed today, which provides for:
on one hand, the return to Fondazione Fiera Milano of certain spaces within the Service Center of the External Hub, resulting in a reduction of Euro 268,000 plus VAT in the annual lease fee under the External Hub lease agreement;
on the other hand, the inclusion of additional spaces in the areas covered by the lease agreement for the Torre Orizzontale, resulting in an increase of Euro 258,800 plus VAT in the annual lease fee under the same lease agreement.
Although the total value of the Transaction (equal to approximately Euro 4.7 million plus VAT) is lower than the Company's market capitalization, as defined in Annex 3 of Consob Regulation 17221/2010 (the "Consob Regulation"), the Transaction was classified as "of greater importance" pursuant to the Consob Regulation and Fiera Milano's Procedure for Related Party Transactions (the "RPT Procedure"), as it modifies a transaction already qualified as such in July 2024.
Today, in accordance with the provisions of the RPT Regulation and the RPT Procedure, the Transaction was approved by the Board of Directors, following the binding favorable opinion issued unanimously on 22 July 2025 by the Company's Control and Risk Committee acting as Related Party Transactions Committee.
The information document relating to the Transaction, prepared pursuant to Article 5 of Consob Regulation No. 17221/2010 and Article 10 of the RPT Procedure, will be made available to the public within the terms and in the manner established by current legislation.
The Transaction is part of the broader implementation of Fiera Milano's 2024-2027 Strategic Plan, which includes targeted initiatives aimed at improving operational efficiency and strengthening organizational culture. It is noted that the relocation of the Company's headquarters to the Torre Orizzontale, which became effective in September 2024, is one of the initiatives of the Plan, aimed at providing the Company with more modern and functional spaces and fostering a collaborative, inclusive and engaging work environment. The Transaction approved today represents an additional step in this implementation process.
