HOLDINGS – Introduction and commencement of trading of NEW SHARES

The company under the name «EVROPI HOLDINGS S.A.» (the «Company») announces that:

1. The Athens Stock Exchange on 22 May 2025 approved the admission to trading of 56.948.627 new common nominal intangible shares with voting rights of the Company, with a nominal value of €0.26 each (the «New Shares»), resulting from the increase of the Company's share capital by cash payment and with pre-emptive rights in favour of existing shareholders (the «Increase»), as decided on 14.04.2025 by the Board of Directors of the Company, pursuant to the authority granted to the Board of Directors by the Extraordinary General Meeting of the Company's shareholders held on 06.03.2025, and

2. on 26.05.2025, trading of the 56,948,627 New Shares will commence on the Main Market of the Athens Exchange (regulated market, pursuant to Law 4514/2018).

The New Shares resulting from the Offering will have been credited to the holders' shares and securities accounts in the Intangible Securities System (S.A.T.) on the date of commencement of trading.

The total funds raised through the Offering in the amount of €68,338,352.40, after deducting the estimated issue costs of approximately €890,000, will be distributed in accordance with the provisions of Section VII "Reasons for the Issue and Use of the Funds" of the 16.04.2025 Document of Annex IX of Regulation 2017/1129, which was made available to the investing public on 16.04.2025.
