ANNOUNCEMENT FOR THE FREE DISTRIBUITON OF OWN SHARES
PURSUANT TO ARTICLE 114 OF LAW 4548/2018
The Société Anonyme under the name "DIMAND S.A. REAL ESTATE DEVELOPMENT AND REAL ESTATE DEVELOPMENT AND CONSTRUCTION, SERVICES AND PARTICIPATION COMPANY" (hereinafter, the "Company") informs the investors that the free distribution of own Company shares to members of the Board of Directors and the Company's employees, including associates, pursuant to the provisions of article 114 of Law 4548/2018 (hereinafter, the "Beneficiaries"), was completed on 11.06.2024. One hundred thousand two hundred and ninety-two (100,292) own shares (common registered with voting rights) were transferred by the means of Over-The-Counter Transactions (OTC) to the personal S.A.T. accounts of the Beneficiaries. The total value of the aforementioned shares amounted to c. €828,412, resulting from the closing price of €8.26 on 11.06.2024.
Out of a total of 72 Beneficiaries, 5 Beneficiaries fall under Article 19, paragraph 1 of Regulation (EU) 596/2014 on the above date and are expected to make the relevant notifications within the deadline set by the relevant legislation.
The shares were awarded to the Beneficiaries for free and are subject to a mandatory retention period, until 11.12.2024.
The distribution was made following the resolutions of the Annual General Meetings of the Company's shareholders held on 07.09.2022 and 22.06.2023 and the respective delegated resolution of the Board of Directors dated 02.04.2024, aiming to reward executives and associates of the Company for their contribution to the achievement of its medium and long- term objectives and to strengthen their loyalty and confidence in the Company, while serving its operational needs.
The aforementioned shares have been acquired under the Company's own share buyback program, which was approved by the resolution of the Annual General Meeting of the Company's shareholders on 07.09.2022, as subsequently amended by the resolution of the Annual General Meeting of the Company's shareholders on 22.06.2023.
Following the above distribution, the Company holds 49,708 own shares, which correspond to 0.266% of its total number of shares.
