Digital Value S p A : Favoreble assessment by Consip S.p.A.

Consip has communicated a favorable assessment of the multiple self-cleaning measures promptly adopted by the Digital Value Group, aimed at the effective and complete dissociation from the well-known events that occurred between 14 and 15 October 2024 involving Mr. Massimo Rossi (former Chairman and CEO of Digital Value and former Sole Director of Italware S.r.l.).

In these communications, Consip reached a positive evaluation regarding the reliability of the Digital Value Group, taking into account the appropriateness and timeliness of the aforementioned self-cleaning measures, as well as the Group's clear and concrete intent to dissociate itself entirely and effectively from Mr. Rossi.

As a result, Consip confirmed the validity of the tender awards and the continued professional suitability and fiduciary relationship with Consip. Accordingly, Consip concluded that, at present, there are no grounds for revoking Digital Value Group's status as awardee.

It is worth recalling that, as previously disclosed to the market, the Digital Value Group promptly undertook a broad self-cleaning process, adopting multiple appropriate measures to distance itself from the aforementioned events and continuing to strengthen corporate governance practices in line with current regulations, leading market standards, and strict ethical principles.

Furthermore, Consip has requested to receive, on a semi-annual basis, information and documentation demonstrating the maintenance of the self-cleaning measures currently in place, as well as updates on any changes to the ownership structure and control chain of Digital Value.
