12 May 2026 Lagos, Nigeria DANGOTE CEMENT PLC - OUTCOME OF EMERGENCY BOARD MEETING This is to inform the Nigerian Exchange Limited (NGX), the investing public and all stakeholders that: Dangote Cement PLC (the "Company") is at a preliminary stage of exploring a potential secondary listing on the London Stock Exchange ("LSE") under the international commercial companies secondary listing framework. The proposed listing on the LSE, if pursued, is intended to deepen the Company's access to international capital markets, broaden its shareholder base, and further strengthen its position as a leading pan-African enterprise. Any such transaction would be subject to, amongst other things, requisite corporate approvals, finalisation of transaction terms, receipt of all relevant regulatory approvals and market conditions. The Company will provide further updates to the market as the transaction progresses and as requisite regulatory requirements are complied with. There is no certainty that the proposed listing will be completed or, if completed, as to the terms or timing thereof. Shareholders and investing public are therefore advised to exercise caution when dealing in the securities of the Company pending such further announcements.
