(“CULT” or the “Company”) CSE:CULT OTC:CULTF (FRA: LN00), adisruptive food technology platform focused on making investments topioneer the commercialization of lab-grown meat and cellularagriculture to reshape the global food industry, announces it hasclosed the previously announced debt settlement agreement (the“Settlement Agreement”) tosettle outstanding debts owed to an arm’s-length creditor (the“Creditor”) totaling$132,500 (the “DebtSettlement”).
Pursuant to the Settlement Agreement, the Company has agreed to issuean aggregate of 8,833,333 Shares at a deemed price of $0.015 perShare. The Company will be relying on section 2.24 (the “Exemption”) of NI 45-106Prospectus Exemptions for the shares issued to the Creditors.Securities issued under the Exemption are not subject to a hold periodand are free trading.
The board of directors of the Company determined that it is in thebest interests of the Company to complete the Debt Settlement in orderto preserve the Company's cash for working capital.
