(“CULT” or the “Company”) CSE:CULT (OTC: CULTF) (FRA: LN00), adisruptive food technology investment platform focused on makinginvestments to pioneer the commercialization of lab-grown meat andcellular agriculture to reshape the global food industry, announcesthat it has agreed to settle a certain debt (the “Debt Settlement”) with anarm’s-length creditor.
Pursuant to the Debt Settlement, the Company will provide a cashpayment of $30,000 and issue 10,000,000 common shares of the Company(the “Shares”) at a deemedprice of $0.01 per Share. The Shares will be issued as free-tradingsecurities, in reliance on section 2.24 of National Instrument 45-106– Prospectus Exemptions.
The board of directors has determined that completing the DebtSettlement is in the best interests of the Company as it will preservecash for working capital purposes and strengthen the Company’sbalance sheet.
