Conversion of Convertible Loan Notes

BSF Enterprise Plc (LSE: BSFA), (OTCQB: BSFAF), the biotechnology company focused on tissue engineering, lab-grown materials and bioactive solutions, announces that it has received a notice from Indigo Capital Investments ("Indigo") to convert £100,283 of the outstanding amount of £1m under the Company's convertible loan note instrument (the "CLN").

Accordingly, the Company will issue 10,000,000 new ordinary shares of 1 penny each to Indigo (the "Conversion Shares") in satisfaction of £100,283 of the outstanding amount under the CLN.

Admission and Total Voting Rights

Application will be made for the Conversion Shares to be admitted to the Equity Shares (transition) category of the Official List and to trading on the London Stock Exchange's main market for listed securities ("Admission"). Admission is expected to become effective and dealings in the Conversion Shares to commence at 8.00 a.m. on 28 August 2026.

The Conversion Shares will rank pari passu in all respects with the Company's existing ordinary shares.

Following Admission, the Company's issued share capital and total voting rights will comprise 203,749,437 ordinary shares.
