Execution of an Agreement Concerning the Sale of the Right to Develop a Precious Metals Deposit in California (USA) Current report no. 5/2025 Date: 19 February 2026
The Board of Directors of Coal Energy S.A. (the "Company") hereby informs that on 18 February 2026 the Company entered into an agreement with MINERALS PLUS LLC, with its registered office in the United States of America (the "Client"), the holder of the rights to develop the PEDRY POLYMETALLIC DEPOSIT, a precious metals deposit located in the State of California (USA).
The subject of the agreement is the provision by the Company of services consisting in the sale of the right to develop a precious metals deposit, including in particular gold, silver, copper, zinc and lead, owned by the Client.
The agreement has been concluded for a fixed term until 31 December 2026. The Company's remuneration consists of a premium covering all proceeds obtained from the sale of the asset exceeding the sale amount determined by the Client.
The execution of the agreement is consistent with the development of the Company's investment and advisory activities, in particular including:
sourcing investors for projects related to the development of mineral deposits on behalf of mining entities;
sale of mining assets or rights to exploit mineral deposits on behalf of their owners.
In the opinion of the Management Board, the current situation on the precious metals market and the favourable geographical location of the deposit significantly increase the probability of successful completion of the transaction. The Company intends to promptly prepare a sales concept for the asset and undertake actions aimed at its implementation.
The Management Board of the Company has classified the above information as inside information due to its potential impact on the Company's financial position and development prospects.
