Pursuant to Regulation 30 of SEBI (LODR) 2015, we wish to inform you that the Board of Director of the Company at its Meeting held today August 7, 2026 via video conferencing (commenced at 12.30PM and concluded at 1.45PM), has inter-alia approved the following:1. Appointment of Independent Director: Based on recommendation of Nomination and Remuneration committee, Mr M Karunakaran (DIN:11874200) has been appointed as an Additional Director (Non-Executive Independent) for a term of 5 consecutive years w.e.f. August 7, 2026, subject to shareholder approval at ensuing AGM.2. Reconstitution of Committees: Consequent to this appointment, the Audit Committee, Nomination & Remuneration Committee, and Stakeholder Relationship Committee stand reconstituted w.e.f August 7, 2026.Kindly take the above on record.
