Appointment of non-executive directors

Chams Holding Company Plc (the "Company") hereby notifies the Nigerian Exchange Limited ("NGX") and the investing public that the Company has appointed MR. FEMI OKANLAWON and MR. OLABISI MAKANJUOLA, respectively, as Non-Executive Directors effective 1st May 2026.

Mr. Okanlawon is a Stakeholder / Businessman in the Real Estate Industry. He founded Two (2) CBN Licensed Institutions (Snow Microfinance Bank Limited (Financial Services) & Snow Financial Company Limited (Financial Services).

He is a Computer Science graduate of Yaba College of Technology and holds an M.Sc. Computer Science, from Lagos State University. He also holds an MBA in International Business from Lagos State University and a certification in the Advanced Management Programme (AMP), from Said Business School at the University of Oxford, among others.

Part of his proven track record is pioneering the first Card technology at the Chams Group as the First General Manager of Super Card Limited. His core area of expertise is in Information Technology.

Mr. Olabisi Makanjuola is a Partner and the head of the Dispute Resolution Practice Group at the law firm of Olaniwun Ajayi LP. He is an alumnus of the Lagos Business School and the immediate past Chairman of the Nigerian Bar Association, Lagos Branch. He also currently sits as a member of the Governing Council of the Lagos Multi-Door Courthouse. He has a proven track record in Dispute resolution.

His comprehensive understanding of complex disputes, including those related to corporate shareholding, capital market regulations, commercial contracts, fraud, white-collar crimes, and infrastructure projects, earned him recognition as a "Rising Star" by Legal 500 in April 2022, "Next Generation Partner," and a "Recommended Lawyer.

The Board is confident that the dynamic leadership and wealth of experience of both Mr. Femi Okanlawon and Mr. Olabisi Makanjuola will foster collaboration with our stakeholders, contribute to the fulfilment of the Company's strategic goals, and deliver transformative results.

This notification is issued strictly for regulatory compliance and transparency purposes in the meantime, whilst the company concludes the necessary filings at the Corporate Affairs Commission (CAC).
