To consider and approve the formation of a subsidiary in the United Kingdom (UK) to promote and enhance educational business activities of the company.2. To consider and approve the proposal for reclassification of promoters, subject to the applicable provisions of the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and other applicable laws, if any.3. To consider and approve the change in Key Managerial Personnel (KMP) of the Company, including appointment, resignation, or cessation, as applicable.4. To consider and approve the offering of discounted coupons/vouchers to the shareholders of the Company for availing educational services offered by the Company, and to approve the terms and conditions thereof.5.
