Other relevant information - The Company announces the resolution of its board of directors to approve a segregation plan of the Company (On corporate transactions)

Pursuant to Article 227 of Law 6/2023 of 17 March on Securities Markets and Investment Services, Audax Renovables, S.A. ("Audax" or the "Company") hereby announces the following:

On 30 June 2026, the board of directors of the Company resolved to draw up a segregation plan of the Company in favour of a newly incorporated beneficiary company wholly owned by the Company, which will be incorporated under the corporate name Audax Portugal, S.L.U. (the "Beneficiary Company").

Pursuant to such plan, the business unit consisting of the electricity and natural gas supply activity carried out in Portugal (the "Economic Unit"), comprising the assets and liabilities identified in the segregation plan, will be transferred en bloc, by universal succession, to the Beneficiary Company, in accordance with Article 61 of Royal Decree-Law 5/2023 of 28 June.

The Company will continue to carry out the remaining activities it has been conducting to date.

All of the shares of the Beneficiary Company will be allocated to the Company, which will be its sole shareholder.

The proposed segregation will be submitted to the ordinary approval procedure by the general shareholders' meeting of the Company, in accordance with the requirements and formalities established under applicable law, including securities market regulations.

The segregation plan has been duly published on the Company's corporate website (https://www.audaxrenovables.com).
