ARADEL HOLDINGS PLC - BOARD RESOLUTION

This is to notify the shareholders of Aradel Holdings Plc ("Aradel" or the "Company"), Nigerian Exchange Limited ("NGX"), and the investing public that at the Company's Board meeting which held on the 28th of January 2026, the Board of Directors of the Company passed the following resolution:

  1. That Ms. Nnoli Akpedeye be and is hereby appointed to the Board of the Company as an Independent Non-Executive Director effective 2 February 2026 or so soon thereafter as all applicable documents are executed subject however to ratification by the shareholders at the next annual general meeting of the Company.

  2. That the Company Secretary is hereby authorized to notify the regulators of the appointments of the Directors and take all necessary actions to give effect to the above resolution.

Profile - Ms. Nnoli Akpedeye

Ms. Nnoli Akpedeye has over thirty-Six (36) years of experience in oil and gas, engineering, legal and arbitration services, and management consulting. She has acquired local and international exposure, developing competencies in management and strategy, business process engineering, organisational development and change, and entrepreneurship development. Her expertise also includes executive coaching and mentoring and fostering international partnerships.

Until 2014, she was the Technical Planning Manager for Shell Exploration and Production Companies in Nigeria, where she was responsible for executing high-impact, mission-critical projects. Her career at Shell spanned civil engineering design, planning & construction, project management, facility management, technical audit and business planning & strategy.

Ms. Akpedeye runs Contego Servo Limited and Perfectus Laundi Limited & in 2013, she launched the "Introduce a Girl to Engineering" program for secondary school girls in Nigeria. She is a COREN-registered engineer, a Fellow of the Nigerian Society of Engineers (FNSE), a past President of the Association of Professional Women Engineers of Nigeria (APWEN) and a passionate STEM ambassador. Ms. Akpedeye is a founding member of the Women in Energy Network (WIEN), the Chief Operating Officer of Compos Mentis Legal Practitioners, and the Chairman of the Board of Trustees of the Compos Mentis Foundation.
