PR Notice of Call of Shareholders' Meeting

San Giovanni in Marignano, 28th April 2026. The Board of Directors of Aeffe Spa, a luxury company listed on the Euronext Milan market of the Italian Stock Exchange, which operates in both the ready-to-wear and footwear and leather goods sectors with highly renowned brands, including Alberta Ferretti, Moschino, and Pollini, announces that the notice of call for the Shareholders' Meeting is available. The meeting is scheduled for May 19th, 2026, for the purpose of illustrating Aeffe's pro forma financial position, results of operations, and cash flows. This notice shows that the Company's net equity has decreased below the minimum required under Article 2327 of the Italian Civil Code

The notice of call for the Shareholders' Meeting was published pursuant to Article 125-bis of the TUF and Article 125-bis of the Italian Civil Code. 10 of the Bylaws, on the Company's website at https://www.aeffe.com in the "Governance" section, as an excerpt in the national newspaper "Italia Oggi," and through the SDIR NIS circuit of Borsa Italiana.

The proxy forms, along with instructions for completing and submitting them, are available at the company's registered office and on the Company's website at https://aeffe.com/it/documenti-relativi-alle-assemblee-degli-azionisti/ and through the SDIR NIS circuit of Borsa Italiana.

The company has also published the Explanatory Report prepared pursuant to Article 125-ter, first paragraph, of Legislative Decree No. 58 of February 24, 1998, which is available at the company's registered office, on the Company's website at https://aeffe.com/it/documenti-relativi-alle-assemblee-degli-azionisti/, and through the SDIR NIS circuit of Borsa Italiana.
