PROPOSED SALE OF THE SHAREHOLDING OF MERCHANT BANK OF SRI LANKA & FINANCE PLC (MBSL) IN MBSL INSURANCE COMPANY LTD (MBSLI) We wish to inform you that the Board of Directors of Merchant Bank of Sri Lanka & Finance PLC (MBSL) at a meeting held on 11th July 2024 resolved to grant approval in principle for the proposed sale of MBSL’s entire shareholding (53.81%) in MBSL Insurance Company Limited (MBSLI). The proposed sale will be subject to obtaining the necessary regulatory approvals from the Insurance Regulatory Commission of Sri Lanka and Central Bank of Sri Lanka and compliance with procedural steps in the Shareholders Agreement between the shareholders of MBSLI.

MERCHANT BANK OF SRI LANKA & FINANCE PLC (MBSL) MINIMUM PUBLIC HOLDING AS A CONTINUOUS LISTING REQUIREMENT ANNOUNCEMENT UNDER SECTION 7.14.2 OF THE LISTING RULES In terms of Section 7.14.2 of the Listing Rules of the Colombo Stock Exchange, we wish to inform you of the following: (i) MBSL is non-compliant with the Minimum Public Holding Requirement specified in Rule 7.14.1 (a) of the Listing Rules with effect from 1st November 2021. Pursuant to the listing of 358,665,096 shares of the Rights Issue on 1st October 2021, the public float of the Company dropped to 15.50%. (ii) Status of the Company as of 31st December 2022 is given below: a. Existing Float Adjusted Market Capitalization - Rs. 276,404,944.80 b. Public Holding Percentage - 15.50% c.
