EBI System Wrocław, 9 June 2020 Current report 4/2020 Subject: Incidental breach of the Code of Best Practice for WSE Listed Companies 2016 Acting pursuant to § 29.3 of the Warsaw Stock Exchange Rules and Regulations, in reference to EBI report 1/2019 of 6 May 2019 concerning information on the rules of the Code of Best Practice for WSE Listed Companies applied by Zespół Elektrociepłowni Wrocławskich KOGENERACJA S.A. (the "Company"), the Management Board of the Company informs that there has been an incidental breach of the principle II.Z.7. The reason for the breach is the resignation of Mr Maciej Jankiewicz from the position of Member of the Supervisory Board of June 8, 2020 with immediately effect, of which the Company informed in the Current Report 17/2020. Mr. Maciej Jankiewicz was also the Chairman of the Audit Committee of the Supervisory Board of KOGENERACJA S.A. Therefore, from June 8, 2020, the Audit Committee consists of: Ms. Hanna Mazurkiewicz - Member of the Audit Committee, Mr. Piotr Szczepiórkowski - Member of the Audit Committee, Mr. Radosław Woszczyk - Member of the Audit Committee The company hereby informs that it will take all measures necessary to appoint the Chairman of the Audit Committee as soon as reasonably practicable. To the knowledge of the Company's Management Board, the Supervisory Board - having received information about the resignation of Mr. Maciej Jankiewicz - has drawn attention to this fact and the incomplete composition of the Audit Committee under the Act on Statutory Auditors, Audit Firms and Public Oversight of 11 May 2018.
