Update of the share buyback programme by Zabka Group to satisfy awards under the long-term incentive plan

With reference to current report No. 13/2025 dated 31 July 2025 regarding the announcement of the share buyback programme (the "Buyback") by Zabka Group (the "Company") to meet the Company's obligations arising under its long-term incentive plan for the years 2025-2027 (the "LTIP 2025-2027"), the Board of Directors of the Company (the "Board") hereby informs that it has resolved to amend the existing key parameters of the Buyback as follows:
the maximum pecuniary amount allocated to the Buyback is increased from PLN 130,000,000 to PLN 273,000,000, i.e. by PLN 143,000,000;
the maximum number of shares to be acquired under the Buyback is increased from 4,200,000
to 8,600,000 (the "Maximum Number of Treasury Shares"), i.e. by 4,400,000;
the duration of the Buyback is extended until 30 April 2027 (inclusive). All other key parameters of the Buyback remain unchanged.
The amendment of the key parameters of the Buyback is intended to ensure that the Company is able to acquire a sufficient number of treasury shares to settle the LTIP 2025-2027 for the year 2026.
Under the Buyback implemented to date, in the period from 7 August 2025 to 19 August 2025, the Company acquired a total of 3,780,000 treasury shares, which are counted towards the Maximum Number of Treasury Shares. Detailed information on the implementation of the Buyback to date has been disclosed by the Company in current reports No. 14/2025 dated 11 August 2025, No. 15/2025 dated 18 August 2025 and No. 16/2025 dated 25 August 2025.
