Withdrawal of AGM Resolutions 10 and 11

Inspiration Healthcare Group plc has withdrawn Resolutions 10 and 11 from its upcoming Annual General Meeting agenda, which were related to the disapplication of pre-emption rights and the renewal of authority for market purchases of its own shares. This decision follows feedback from a significant shareholder, though the company states it does not anticipate needing to exercise these authorities before the next AGM and would convene a separate meeting if necessary. The withdrawal does not impact the AGM's validity or the company's operational strategy. Disclaimer*

Withdrawal of AGM Resolutions 10 and 11

About this update from Inspiration Healthcare Group Plc

20 July 2026 Inspiration Healthcare Group plc ("Inspiration Healthcare", the "Group" or the "Company")   Withdrawal of AGM Resolutions 10 and 11   Inspiration Healthcare Group plc (AIM: IHC), the global medical technology company, pioneering, specialist neonatal intensive care medical devices, advises that the Board has withdrawn Resolutions 10 and 11 from the agenda of the Annual General Meeting ("AGM") of the Company's shareholders scheduled to be held at 12:00 p.m. (UK time) on 23 July 2026 at the Company's registered office, Unit 7/8 Commerce Park, Commerce Way, Croydon, England CR0 4YL.   Resolutions 10 and 11 were special resolutions relating to the disapplication of pre-emption rights in respect of the allotment of equity securities for cash, and the renewal of the Company's authority to make market purchases of its own ordinary shares, respectively. Whilst the Board considers the flexibility afforded by these authorities to be in the best interests of the Company, it has taken the decision to withdraw Resolutions 10 and 11 from the agenda of the AGM following feedback received from a significant shareholder in the Company since the publication of the notice of the AGM.   The withdrawal of Resolutions 10 and 11 does not affect the validity of the notice of the AGM, the proxy form or any votes submitted in respect of the remaining resolutions to be proposed at the AGM. Arrangements for the AGM are unchanged from those previously notified, as is the numbering of all other proposed resolutions at the AGM.   Also, the withdrawal of these Resolutions does not affect the strategy or day-to-day running of the business, and the Directors do not currently envisage that the Company would need to exercise the authorities that would have been granted by Resolutions 10 and 11 before the Company's next annual general meeting. Should such need arise, a separate general meeting would be convened to seek shareholder approval at the relevant time.   For further information, please contact:   Inspiration Healthcare Group plc Tel: +44 (0)330 175 0000   Raffi Stepanian, Chief Executive Officer Alan Olby, Chief Financial Officer     Singer Capital Markets (Nominated Adviser & Broker) Tel: +44 (0)20 3100 2000   Alex Bond   Jalini Kalaravy     Cavendish Capital Markets (Joint Broker) Tel: + 44 (0)20 7220 0500   Giles Balleny / Joe Smith   Nigel Birks   Harriet Ward     Walbrook PR Ltd (Media & IR) Tel: +44 (0)20 7933 8780 or [email protected]   Anna Dunphy Mob: +44 (0) 7876 741 001   Rachel Broad Mob: +44 (0) 7747 515 393             About Inspiration Healthcare   Inspiration Healthcare (AIM: IHC) designs, manufactures and markets pioneering medical technology.
