Waystream Acquires Tellus Fiber

The initial purchase price amounts to SEK 30 million, with the possibility of an additional earn-out consideration. Of the initial purchase price, SEK 10 million will be paid in cash at completion and SEK 20 million will be paid through promissory notes, which will be offset by the sellers (reinvestment) against new shares in Waystream Group. The share price will be based on the volume-weighted average price of Waystream's share during the five trading days immediately preceding completion, but no less than SEK 43 and no more than SEK 45 per share. The Board of Directors intends to resolve on the reinvestment using the authorization for new share issues granted by Waystream's Annual General Meeting on April 22, 2026. The cash portion of the purchase price will be financed with Waystream's existing cash position.

Through the reinvestment, a maximum of 465,117 new shares will be issued, corresponding to a dilution of approximately 5.3 percent based on the total number of shares in Waystream after the reinvestment (8,769,180 shares). Prior to the reinvestment, the number of outstanding shares in Waystream amounts to 8,304,063.

Further information regarding the reinvestment and the related share issue will be disclosed in a separate press release at the time of the issuance.

In addition to the initial purchase price, the sellers are also entitled to an additional earn-out payment in 2027 of up to SEK 10 million. This amount is linked to Tellus Fiber's operating profit (EBIT) for the 2026 financial year.

Tellus Fiber was founded in 2023 and operates in the sale of fiber-optic equipment. The company offers a broad range of fiber-optic products, including optical transceivers and other networking equipment, and serves customers of varying sizes-from some of Sweden's largest telecom operators to municipalities and resellers. In 2025, Tellus Fiber reported revenue of SEK 29 million and an EBIT of SEK 2 million. The acquisition is expected to have a positive impact on Waystream's revenue and earnings going forward. Tellus Fiber will be consolidated into Waystream's group financial statements as of the completion date but will continue to operate under its own brand. The acquisition is not expected to have any material impact on Waystream's financial position beyond what is stated in this press release.
